Dubai, UAE / with occasional travel throughout the Middle East and globally to our Management Offices, and other locations where the company has operations or where clients may be located (CST specific).

Contact and Cooperation:

Internally: Company-wide with a focus on Regional Directors, Legal Counsel and Director CST.

Externally: Clients, government and statutory authorities, and service providers.

Job Outline:

 

The role will support the CST Director, Legal Counsel, Senior Procurement Manager and other members of the business to manage and administer all contracts, encompassing the entire service delivery and supply chain, including intragroup and corporate facility contracts as required. The role will require the incumbent to review, negotiate, draft, amend and obtain sign off for all such contracts, in line with applicable policies and the GardaWorld [IPS] Authority Matrix. They will also be responsible for the filing and general administration of all contracts to ensure all contracts are in date and retrievable as required. Finally, they will be responsible for coordinating and managing third party and customer due diligence procedures and processes in line with company policies.

 

 

Key Responsibilities:

 

Pre-contractual

•             Review, negotiate, draft and amend contracts to ensure they are compliant with GardaWorld policy and procedure, contracting principles, and commercial interests

•             Coordinate with other business functions to obtain input relative to their areas of expertise, consolidate and incorporate into any revisions to such contracts, prior to circulating with recommendations and requests for sign off

•             Coordinate the physical (and/or electronic) sign off of contractual documentation by the relevant signatory authority in line with the Authority Matrix

•             Assist with drafting appropriate language, suggested deviations and pricing notes specifically addressing areas of risk for inclusion in bid submissions that contain draft contracts for review

•             Participate as a key member of the negotiating team in contract discussions with customers and suppliers

•             Coordinate and manage third party and customer due diligence procedures and processes.

 

Post-contractual

•             Assist with, and advise on post-contract commercial issues including review of existing contracts, representations, warranties, and other key contractual provisions to avoid disputes through discussions and negotiations with contractual counterparts, or to assist legal counsel with dispute resolution mechanisms once disputes have arisen.

 

Systems

•             Create and maintain a comprehensive contracts database, featuring complete, accurate, fully executed and in date copies of all contracts, including providing timely notice of any expiring contracts, in order to initiate any renewal process, and respond to information requests from various stakeholders, including legal and compliance.

•             Develop, deliver, and maintain effective commercial methods, processes, and operational procedures to ensure contracts are managed in line with internal and external compliance standards, including ISO and GDPR

•             Promote compliance with all GardaWorld Business Management Systems (BMS) and Company policies.

Accountability:

The Contracts Manager, CST is accountable to the Director, CST for their responsibilities stated in this job description. These responsibilities will be monitored and managed through the mid-year and annual performance review and supported through the monitoring of their KPIs.

Authority:

As directed by and delegated from the Director, CST and in line with the GardaWorld Authority Matrix.

Experience:

 

•             Tertiary education within a relevant discipline such as Business Administration or Business Law.  

•             Fluent in English, with proficiency in French and/or Arabic a differentiator;

•             Minimum 5 years’ experience within a commercially driven environment with a focus on contract management;

•             Advanced knowledge of Microsoft Office

•             Previous experience in a similar role in the industry preferred
